1. Introduction

These Terms and Conditions govern the provision of services by Prime Clinical Nursing Pty Ltd ("Prime Clinical Nursing", "we", "us", or "our") to participants, clients, nominees, guardians, authorised representatives, and other persons receiving services from us ("Participant", "you", or "your").

By engaging our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

2. Our Commitment

Prime Clinical Nursing is committed to delivering safe, professional, person-centred, and evidence-based healthcare and disability support services that promote independence, dignity, choice, and quality of life.

Our services are delivered in accordance with:

  • NDIS Practice Standards

  • NDIS Code of Conduct

  • Australian Privacy Principles

  • AHPRA Professional Standards

  • Workplace Health and Safety legislation

  • Applicable Commonwealth and Queensland legislation

3. Services Provided

Prime Clinical Nursing may provide services including, but not limited to:

  • Community Nursing Care

  • High Intensity Daily Personal Activities

  • Medication Administration

  • Complex Wound Management

  • Complex Bowel Care

  • Diabetes Management

  • Enteral Feeding and Management

  • Severe Dysphagia Support

  • Stoma Care

  • Tracheostomy Management

  • Urinary Care Management

  • Ventilator Management

  • Subcutaneous Injections

  • Daily Living Supports

  • Community Participation Supports

  • Transport Assistance

  • Life Skills Development

  • Household Tasks

  • Employment and Community Access Supports

Services are subject to staff availability, participant eligibility, risk assessment outcomes, and service agreements.

4. Service Agreements

Before commencing services, participants may be required to enter into a Service Agreement outlining:

  • Agreed supports

  • Schedule of supports

  • Pricing arrangements

  • Participant responsibilities

  • Provider responsibilities

  • Cancellation arrangements

Where a conflict exists between these Terms and Conditions and a signed Service Agreement, the Service Agreement shall prevail.

5. Participant Rights

Participants have the right to:

  • Be treated with dignity and respect.

  • Receive safe and quality services.

  • Exercise choice and control.

  • Access information about services provided.

  • Make complaints without fear of reprisal.

  • Have their privacy protected.

  • Be involved in decisions affecting their care.

  • Access an advocate or support person.

6. Participant Responsibilities

Participants agree to:

  • Treat staff respectfully.

  • Provide accurate information regarding their health and support needs.

  • Maintain a safe environment for service delivery.

  • Notify us of changes to circumstances, contact details, or support requirements.

  • Pay invoices when due, where applicable.

  • Comply with agreed service arrangements.

Prime Clinical Nursing reserves the right to suspend or discontinue services where safety risks cannot be adequately managed.

7. Fees and Charges

Service fees are charged in accordance with:

  • Current NDIS Pricing Arrangements and Price Limits; or

  • Private service agreements; or

  • Other agreed funding arrangements.

Applicable charges may include:

  • Direct support services

  • Nursing services

  • Travel charges

  • Report writing

  • Assessments

  • Administrative fees were permitted

All fees are inclusive or exclusive of GST as required by Australian taxation legislation.

8. Invoicing and Payment

Invoices may be issued:

  • Weekly

  • Fortnightly

  • Monthly

  • Upon completion of services

Payments may be made by:

  • Direct Debit

  • Electronic Funds Transfer (EFT)

  • Credit Card

  • Other approved methods

Overdue accounts may result in suspension of services following reasonable notice.

9. Cancellations

Participants are requested to provide at least 48 hours' notice for cancellations.

Where insufficient notice is provided, cancellation fees may apply in accordance with:

  • NDIS Pricing Arrangements

  • Service Agreement terms

  • Applicable funding rules

No cancellation fees will be charged where exceptional circumstances apply.

10. Privacy and Confidentiality

Prime Clinical Nursing is committed to protecting personal and health information.

We collect, store, use, and disclose information only where:

  • Required to deliver services;

  • Required by law;

  • Authorised by the participant or their representative.

Information may be stored electronically using secure systems, including Microsoft 365, SharePoint, OneDrive, and approved clinical management systems.

Participants may request access to their personal information in accordance with applicable privacy legislation.

11. Data Security

Prime Clinical Nursing implements reasonable administrative, technical, and physical safeguards to protect information from:

  • Unauthorised access

  • Disclosure

  • Loss

  • Misuse

  • Alteration

While we take reasonable steps to secure information, no electronic system can be guaranteed completely secure.

12. Clinical Care and Risk Management

Participants acknowledge that healthcare services may involve inherent risks.

Prime Clinical Nursing will:

  • Conduct assessments where required.

  • Maintain clinical governance processes.

  • Monitor incidents and risks.

  • Escalate clinical concerns appropriately.

  • Refer participants to emergency or specialist services when necessary.

Participants should seek immediate emergency assistance by calling 000 where urgent medical attention is required.

13. Complaints and Feedback

Prime Clinical Nursing welcomes complaints, compliments, and feedback.

Complaints may be submitted:

  • By email

  • By telephone

  • Through our website

  • In writing

  • Verbally to staff

Complaints will be managed fairly, confidentially, and without discrimination.

Participants may also contact the NDIS Quality and Safeguards Commission if they are not satisfied with the outcome of a complaint.

14. Incident Management

Prime Clinical Nursing maintains an Incident Management System in accordance with NDIS requirements.

Incidents involving:

  • Injury

  • Abuse

  • Neglect

  • Exploitation

  • Restrictive practices

  • Other reportable incidents

will be managed and reported in accordance with legislative requirements.

15. Workplace Health and Safety

Participants agree to provide a reasonably safe environment for staff.

Prime Clinical Nursing may suspend services where:

  • Violence is threatened or occurs.

  • Illegal activities are present.

  • Unsafe conditions exist.

  • Risks cannot be mitigated.

16. Intellectual Property

All website content, logos, policies, forms, educational materials, branding, and documentation remain the intellectual property of Prime Clinical Nursing Pty Ltd unless otherwise stated.

No material may be reproduced without written permission.

17. Limitation of Liability

To the maximum extent permitted by law:

  • Prime Clinical Nursing shall not be liable for indirect, incidental, special, or consequential damages.

  • Liability is limited to the value of services provided, where permitted by law.

  • Nothing in these Terms excludes rights that cannot legally be excluded under Australian Consumer Law.

18. Service Suspension or Termination

Prime Clinical Nursing may suspend or terminate services where:

  • Fees remain unpaid.

  • Safety concerns exist.

  • Services fall outside our scope.

  • False or misleading information has been provided.

  • There is a serious breach of these Terms and Conditions.

Reasonable notice will generally be provided unless immediate action is required for safety reasons.

19. Continuous Improvement

Prime Clinical Nursing maintains a commitment to continuous improvement and regularly reviews:

  • Service quality

  • Clinical governance

  • Risk management

  • Complaints and feedback

  • Participant outcomes

Feedback from participants and stakeholders assists us in improving our services.

20. Amendments

Prime Clinical Nursing reserves the right to update these Terms and Conditions from time to time.

Updated versions will be published on our website and made available upon request.

21. Governing Law

These Terms and Conditions are governed by the laws of Queensland, Australia.

Any disputes arising under these Terms shall be subject to the jurisdiction of the Queensland courts.
